Customer Relationship Summary

Introduction Thank you for choosing Macro Risk Advisors, LLC (“MRA”) as your broker-dealer. We are registered with the U.S. Securities and Exchange Commission (SEC), members of the Financial Industry Regulatory Authority (“FINRA”), and participants in the Securities Investor Protection Corporation (SIPC). This Customer Relationship Summary (“CRS”) offers key information about our brokerage services, fees, and other details to help you make informed investment decisions.

Relationships and Services

What investment services and advice can you expect from us?

  • MRA provides brokerage services on an unsolicited basis, meaning we execute orders based on your ideas without offering investment advice or making recommendations.
  • We offer Private Placements and Initial Public Offerings (“IPO”) exclusively for “Accredited Investors” and “Institutional investors.”
  • We may also refer certain “Accredited Investors” to other financial institutions for specific investment opportunities.
  • You maintain full control over your investment strategy, including purchasing or
    selling investments in your account.
  • There are no minimums to maintain an account, and orders are executed on an agency basis, where MRA acts as an agent to execute your orders. After each order is executed, you will receive a trade confirmation with relevant details and monthly account statements, except when quarterly statements will be provided in cases of no activity.
  • Review your confirmations and statements carefully for accuracy. If you have any questions, please consult your Financial Professional (“FP”), their
supervisor, or a compliance officer. Contact us via telephone at (646) 998-7607, email at [email protected].
  • Your FP’s transactions are subject to daily review by their supervisor and Compliance.

Key Questions to Ask

To ensure you clearly understand our investment services and accounts, consider asking these questions:

  • Given my financial situation, should I choose a brokerage service?
  • How does MRA select investments to recommend? (Please note we do not offer investment advice.)
  • Make sure you understand all fees and costs associated with your account. Discuss them with your FP to avoid surprises.
  • Inquire about your FP’s experience, licenses, education, and qualifications to understand what they mean.
  • How does your FP earn money? Our FPs receive a portion of the commission on each trade, earning more with more transactions.
  • Are there any conflicts of interest your FP may have?
  • Ask your FP about any regulatory issues they may have.

What fees will you pay?

  • For each buy or sell order, you will pay a transaction-based fee, known as a commission, or a markup/markdown for riskless principal transactions. These fees are disclosed on your trade confirmation.
  • The decision to trade is solely at the investor’s discretion. Be aware that trading incurs commissions in your account. We do not recommend or solicit trades.
  • In addition to commissions, the clearing firm assesses a ticket charge on each transaction.
  • Regardless of investment performance, you will incur fees and costs, which will impact your investment returns over time. Discuss these fees and costs with your FP to ensure you fully understand them.

Conflicts, Standard of Conduct & Legal Obligations

MRA is a registered broker-dealer aiming for “best execution” when routing orders to National Securities Exchanges, Alternative Trading Systems, and other Broker-Dealers.

  • We may refer certain “Accredited Investors” to other financial institutions for specific investment opportunities.
  • It’s important to note that MRA’s associated persons may also personally participate in these referral deals, potentially creating conflicts of interest.
  • MRA may receive a rebate or incur a fee when routing orders to exchanges or market centers. Specific details are available upon written request.
  • MRA receives commissions from issuers of Private Placements or offerings when our clients participate in these opportunities.
  • Our duty is to act in your best interest and not prioritize our interests over yours. We don’t recommend investment strategies and ensure no personal FP transactions precede client transactions. We adhere to specific regulatory obligations when providing services to you.
